一つ前の、「秘密保持義務の対象外となる情報」と非常によく
似ていますが、さらに、たとえ第三者であっても、「特定の相手」に
対しては秘密情報を開示しても良いとする場合も数多くあります。 

１．日本および諸外国における裁判所、行政機関、監督官庁その他の
    公的機関（証券取引規制機関を含む）から、法令、規則等法的根拠に
    基づく秘密情報の開示を求められ、これを拒む合理的理由が存在しない
　　ケース

２．受領者の関連会社の役員（取締役、執行役、監査役）および従業員に
    秘密情報を開示するケース

３．弁護士、会計士、税理士、弁理士、司法書士またはコンサルタント等の
    職務上または契約により守秘義務を負っている専門家から助言をもらう
    ために秘密情報を開示するケース 


上記の場合は、開示者としても仕方がないとして合意する場合がほとんど
ですがそれでも受領者に対して下記のような開示条件をつける場合も多いです。

◆１に対する対応
　　裁判所、行政機関、監督官庁に開示前に、予め開示者に通知する事

◆２，３に対する対応
　　開示した相手にも本契約の趣旨および規定を守らせるようにし、それらに反して
　　秘密情報を第三者に漏洩または開示目的以外に使用、複製または改変したこと
　　により開示者に損害が生じた場合は、受領者は当該第三者と連帯責任を負うこと

【法律や政府の要請により秘密情報を開示する前の開示者への通知義務】

In the event that the Receiving Party is legally required or requested to disclose Confidential Information subject to the demand of government, governmental agency, court, any administrative agency or any related authorities, the Receiving Party shall promptly notify the Disclosing Party of such requirement or request prior to the disclosure so that the Disclosing Party may seek an appropriate protective order or take lawful actions to avoid and/or minimize such disclosure.

【子会社等への開示許可および連帯責任】

2.    Notwithstanding the foregoing paragraph, the Receiving Party may disclose the Confidential Information to directors, officers or employees of the Receiving Party or its subsidiaries or affiliates, who have need to know, and are bound, whether as a condition of their employment agreement or otherwise by a written non-disclosure agreement at least equal in scope to this Agreement (hereinafter collectively the "Related Persons").

3.    With reference to the foregoing paragraph, the Receiving Party shall cause the Related Persons who receive Confidential Information to follow the obligation specified in this Agreement. Also, the Receiving Party shall remain liable for any breach of confidentiality, non-disclosure obligations or any obligations herein to be caused by the Related Persons including former directors, officers or employees of the Related Persons, its subsidiaries or affiliates.

2.    Notwithstanding the foregoing paragraph, the Receiving Party may disclose the Confidential Information to  attorneys, accountants, tax agents, patent attorneys or
consultants who have an obligation of confidentiality by law or non-disclosure
agreement  at least equal in scope to this Agreement（Related Persons）.

3.    With reference to the foregoing paragraph, the Receiving Party shall cause the Related Persons who receive Confidential Information to follow the obligation specified in this Agreement. Also, the Receiving Party shall remain liable for any breach of confidentiality, non-disclosure obligations or any obligations herein to be caused by the Related Persons including former directors, officers or employees of the Related Persons, its subsidiaries or affiliates.
