ＦＣ契約で最も重要かつトラブルになりやすいポイントが

「加盟店から適正な金額のというロイヤルティを支払ってもらう」
ということです。


例えば「売上×●●％」のロイヤルティを支払うことになっていても
加盟店がその売上が実際には１００万だったのに８０万というように
ウソをついてまたは間違って計算して算出してしまうことはよくある
ことです。

ここは海外の加盟店とのフランチャイズ契約では最も重要な
ポイントになります。

そこでＦＣ本部としてはそのような不正または間違いを防ぐために、
ＦＣ本部が公認会計士等を加盟店に送り込んでその帳簿や財務諸表を
監査できるという規定をよくします。

ちなみに契約書にこのように書いておいて実際には監査しないことの方が
多いです。高額な監査費用が発生しますので。特に海外の加盟店に
公認会計士を送り込んで監査することは時間／費用を考えればとても
現実的はないのです。
 

よって契約書にこの監査の規定をする目的は加盟店に、

「う〜ん、監査されて間違いを指摘されるのは避けたいからきちんと
　ロイヤルティの計算をしなくてはダメだな。。」

というプレッシャーをかけて、不要なトラブルを未然に防ぐための抑止力を
期待して規定するのです。

同様の目的で「遅延損害金」の規定もＦＣ本部にとっては必須です。
加盟店がロイヤルティの支払を期限までに行わなかったら年利14.6％の
遅延損害金を課すといった内容のものが多いです。

Article ●.  Audit

Franchisee shall keep at its usual place of business true and
particular accounts and records of the amount of Net Sales
and expenses of Services and related document
n respect of the operation of Shop.

Franchisor or any agent designated by Franchisor shall have
the right at any reasonable time during business hours of
Franchisee to audit the accounts and
ecords of Franchisee relating to Net Sales and expenses of
Services, operation of hop, quality of Services at Shop and all
other matters subject to prior notice and consent by Franchisee.  
Franchisor shall be entitled to take copies of or extracts
rom any such record. For the purpose of such audit, Franchisee
is obliged to grant Franchisor to inspect of its books and records
and access to its office and provide Franchisor necessary information
and cooperation.

In case that the fact that Franchisee did not conduct proper accounting processing intentionally or negligently or not follow the standard of FC,
quality, method,Training, OJT or manuals is found as a result of the
foregoing audit, Franchisor may order of suspension of business of Shop
until such situation is recovered.  Franchisor shall assume no liability for Franchisee’s damages arising out of the said suspension.

Article ●. Overdue Interest

If Franchisee failed to make a payment of Royalty, the price for
Designated Products or any other account payable against Franchisor
by the due date specified herein, Franchisee shall pay to Franchisor
an overdue interest of fourteen point six percent (14.6%) per annum
on the unpaid amount until such amount is paid in full.
