「～にも関わらず」という意味。前に出てきた内容の例外事項や逆の意味合いの
ことを言う導入の際に頻繁に使われます。

（例文）
Notwithstanding the foregoing Paragraph, Receiving Party shall have no
obligations to keep confidential in respect of Confidential Information.

前パラグラフに関わらず、受領者は秘密情報について秘密保持義務を
負わない。

「to以下を条件に」という意味で、何かの条文に限定条件を付ける際に
頻繁に使われます。

（例文）

Company hereby appoints Distributor as its exclusive distributor of Products
in Territory subject to the terms and conditions herein

CompanyはDistributorを本契約における諸条件を条件に
製品の独占的販売店として指定する。

何か原則の条件があった場合に続き、「例外事項（但書）」を規定する際の
決まり文句で英文契約書では必須です。

Provided, however, that the aforesaid appointment shall not grant or transfer
any right, title or interest in Products to Distributor.

但し、前述の指定は本製品にあるいかなる権利、所有権、利益も
販売店に許諾または譲渡するものではないものとする。

For the avoidance of doubtは直訳すると「誤解を避けるために記すと。。」となりますが
翻訳するときは、「なお」程度で良いです。下記の例のように「第三者はともかくとして
Company自体はTerritoryでProductsを販売しても良いのか？」というポイントは誤解されやすいので、
そのような場合に誤解を避けるために念押しで使う必須表現です。

For the avoidance of doubt, Company itself shall not sell Products to Customers
 directly in Territory and shall not contact with Customers without prior written
 approval of Distributor.

誤解を避けるために念のために記すと、Company自体もTerritoryにおいて
直接製品をCustomersに販売してはならず、かつDistributorの書面による
承諾なしにCustomersに連絡をとってはならない。

「いかなる目的においても～ではない」と何かを禁止・否定する際に強調するための
必須表現です。かなりの多くの場面で使用されるので慣れておくことが必要です。

The relationship between Company and Distributor shall be
that of a seller and a purchaser.
Distributor is an independent contractor and is not the legal representative
or agent of Company for any purpose whatsoever.

CompanyとDistributorの関係は売り手と買い手である。
Distributorは独立した契約者であり、いかなる目的においても
Companyの法的代表者／代理人ではない。

前に出てきた文章・単語を言い換えるために契約書で使用します。

In the event that Company learns that Products sold outside Territory
has been or will be delivered into Territory for resale or otherwise,
Company shall immediately notify Distributor the detailed information thereof.

ここのinformation thereofはinformation of＋thereに
ひっくり返して考えるとわかりやすいです。そして
thereはその前で出てきた、

を指すことに注意です。

明確に合意した意思を示したわけではないが、
「何かをしない」または「何かをした」ことで
合意したものとみなすという、取引の早期決着を図る条文です。

Unless any Company’s notice of non-acceptance is provided
in the aforesaid manner, Company shall be deemed to have agreed to
and accepted the terms and conditions set forth in the said Purchase Order
issued and Individual Contract shall come into effect.

Companyの承諾通知が前述の通りに提示されない限り、
Companyは注文書に規定された諸条件について合意したものとみなされ
個別契約は効力を生じるものとする。

「～の条件で」と言う趣旨で～の部分に様々な特殊な条件を
続けて英文契約書で使用する。

Any and all Products sold hereunder shall be delivered
from Company to Distributor on the basis of CIF Osaka.
本契約において販売された全ての製品は、
CompanyからDistributorへCIF大阪条件で納品される。

「～に従って」という趣旨で、人やルールに従わせる際に
使わる必須用語

Company shall, pursuant to Distributor’s notice and direction, take necessary steps
at its expense and Distributor may claim Company the damages thereof.
ComapnyはDistributorからの通知／指示に従ってその費用で
必要な手段を講じるものとし、DistributorはComapnyにその損害賠償を請求
できる。

「～の責任に起因する」と言う趣旨で、何かの問題のある事象の
責任が誰にあるのかを明確にする際に使用する表現です。

In the event that Distributor finds defect of Products in terms of quality or function
which is considered to be ascribed to the responsibility of Company as a result of
Inspection

Distributorが検査の結果Companyの責任に帰すると考えられる
品質・機能の観点での製品の欠陥を見つけた場合は

「前パラグラフで規定される通知がされない限り」という趣旨。
「Unless」が文頭に来ると動詞は肯定形なのに否定の意味に
解釈することに要注意。

Unless any notice is given as provided in the foregoing Paragraph,
Distributor shall be deemed to have accepted such Products and
to have waived all claims for discrepancies, defects or damages thereof.

前パラグラフに規定する通知がされない限り、Distributorはその
（欠陥がある）製品を受入その全ての商品品違い、欠陥、損傷に関わる
クレームをする権利を放棄するものとする。

２つの条件が出てきて「どちらの規定に従ったらよいのか？」という
混乱を避けるために使われる必須の表現です。

 If terms and conditions of Individual Contract are inconsistent or conflict
with the provisions of this Agreement, the provisions of Individual Contract
shall prevail.

個別契約の規定が本契約の条文と矛盾／相反するときは、
個別契約の条文が優先する。

「返却または廃棄する」という必須表現です。
英文契約書では例えば、欠陥品、秘密情報、貸与品などが
その対象となることが多いです。「廃棄する」はdispose ofの他に
「destroy」もよく見かけます。

Distributor may return or dispose of
the defective Products at Company’s expense subject to
the prior consultations and consent in writing between the parties hereto.

Distributorは欠陥製品をCompanyの費用で返却／廃棄できる。
但し当事者間での事前の協議／書面合意を条件とする。

原形は「bear（負担する）」だが受身形の「borne」で
「be borne by（負担される）」で使われ、主に費用負担の規定で
使用される。

The remittance cost to be incurred shall be
borne by Distributor.
発生する送金手数料はDistributorによって

「～に関して」と言う意味の必須用語。

With reference to Products, Company shall, at no charge,
render Distributor image data, flyers, novelties and
other necessary tools and information

製品に関して、Companyは無償でDistributorに
画像データ、チラシ、ノベルティおよび他の必要なツール
および情報を提供する。

indemnifyは「現在／将来に生じている／生じる損害を補償する」という意味で
warranty「●●がないことを保証する」とは使い分けます。また
hold harmlessは「第三者からのクレーム／請求について当事者の一方が
責任を負い他方当事者にはいっさい迷惑をかけない」という趣旨です。

Seller shall indemnify and hold Buyer harmless from and against
any and all claims and dispute which may arise in connection with
infringement of patents, trademarks, designs,utility models, copyrights
or other industrial property rights in Products, whether in Territory or 
any other country.
売主は、販売地域またはその他の国における製品の特許、商標、意匠、
実用新案、著作権その他の工業所有権の侵害に関して生じるすべての
クレーム／紛争から買主を免責する。

「権利関係を失うことなく」、「～に実体的効果をもたらさずに」という意味です。

英国法には、契約を解除すれば契約以前の元々の状態に戻るため
、それに伴って損害賠償を請求することができないという概念が
あるため、「契約解除したからと言って、契約の有効期間中に
発生した損害賠償請求の権利がなくなってしまった訳では
ないのですよ～」ということを念押しするために使用します。

Without prejudice to any rights or remedies, either party may
terminate this Agreement by giving a written notice to the other party,

Comany may, at its sole discretion, terminate this Agreement if

「相手と協議して決める」のではなく自己の独断で決められるという点が
英文契約書上ではポイントになり類義語では、「at its discretion（自己の裁量で）」
などがあります。

If Company is convinced that such claim has a good ground,
Company shall, at its responsibility and expense, supply Distributor
with the shortage or replace the faulty Products with new Products
confirming with Specifications, as the case may be.

「～に」という日付を表現するのは「on」または「as」です。
両者は以下のように使い分けます。

◆何かしらの事情で「契約締結日≠契約効力発生日」にしたい場合
　⇒asを使用

    本契約は2026年10月1日付で締結された。

始期の表現としては、「from」や「after」が良く使われますが
この２つは「その日を含むのか否か？」が不明確です。
よって契約書上ではそこまで明確にするために、

「inclusive」、「including」（含む場合）や
「exclusive」、「exclusing」（含まない場合）などを
併用したりします。

また含む場合は上記の他にも、
「on and after」、「starting on」「commencing on」などはさらに
明確な表現と言えるでしょう。

・for the period of sixty (60) days from/after March 1st, 2026 excluding
    2026年3月1日から60日間（含まない例）

・for the period of sixty (60) days on and after March 1st, 2026
   2026年3月1日から60日間（含む例）
 

「〇月〇日までに」の表現としては、「by」や「before」が良く使われますが
この２つは「その日を含むのか否か？」が不明確です。
よって契約書上ではそこまで明確にするために、

「inclusive」、「including」（含む場合）や
「exclusive」、「exclusing」（含まない場合）などを
併用したりします。

また含む場合は上記の他にも、
「on or after」などはさらに明確な表現と言えるでしょう。

Company shall deliver Prpducts to Distributor on or before
December 29, 2026.
CompanyはDistributorに製品を2026年12月29日までに
納品する。

「〇月〇日までは」という期間の条件を表現するには通常は、
「till/until and including日付」を使用します。
「including」を使うことにより「日付の日を含むこと」を
明確にします。

Distributor has an option right to purchase Products
till/until and including March 31st, 2026.
Distributorは２０２６年３月３１日までは
製品を購入する選択権を有する。

i「以前」、「以後」共にその日付を含みますので
以下のように表現します。
・以前：on or before
・以後：on and after

on or before April 3rd, 2026：2026年4月3日以前
on and after April 3rd, 2026：2026年4月3日以後

それぞれ以下のように使い分けます。
・「以内」：within
・「超えない期間」：within the period of not exceeding
・「～未満の期間」：within the period less than

・60日以内：within the period of sixty (60) days
・60日を超えない期間：within the period of not exceeding sixty (60) days
・60日未満の期間：within the period less than sixty (60) days

「from...to」や「through」を使用しますがやはり
「その日が含まれるか否か？」が曖昧ですので
「inclusive」、「exclusive」や、
「commencing on/with and ending on/with」や
「starting on/with and ending on/with」を使用します。
