ここでは、個別契約（Individual Contract）について
お話しします。

OEM契約は、いわば日常的な個々の取引に共通して
適用される基本的ルールを定めて いるものです。
 

一方、委託者と生産者との間で日常的な個々の製品の
製造・納品に関する諸条件については、
注文書、注文請書、Purchase Order、Sales Noteなど
をやり取りします。

これが個別契約（Individual Contract）です。
主なポイントは下記のとおりです。


①個別契約で規定する項目は？

OEM契約の中では、単に「個別契約では下記の条件を
定めるものとする」などとだけ記述し、「品名、数量、価格
納期、支払条件、保証期間,etc」などの項目を列記する
だけで、具体的な内容は書かない（=注文書等に書く）
のが普通です。


②OEM契約書と個別契約書のどちらの規定を優先？

OEM契約書と個別契約書の内容に矛盾があるとき
はどちらを優先するかも記載するのが普通です。

柔軟に運用したいのなら、個別契約書優先、絶対に取引
条件を途中で変更したくないのなら販売店契約書優先に
するのが良いとは思いますが、ここはケースbyケースでの
対応となります。

③どのような手続きを踏んだら個別契約が成立する？

どのような手続を踏んだら個別契約が成立するか？
も意外と重要です。

・委託者が生産者を受託者に提出したら成立
・委託者が生産者に電話で注文したら成立
・委託者が注文書を生産者に提出し、
　生産者が注文請書を返したら成立
・上記の場合、委託者による注文書の提出日から起算して
　３営業日以内に、生産者が何かしらのアクションを取らなかったら
　自動的に成立

などなど、実に様々なパターンがあります。
取扱う製品の特性、取引の内容に応じてベストの選択肢を選択しましょう。

④成立した個別契約の改定は可能？

いったん成立した個別契約を改定する余地があるのか？また当該
改定によりいずれの当事者に損害が生じたらどのようにするのか？
等を規定します。

⑤契約の有効期間満了時の個別契約の取扱い

いったん、締結された個別契約の業務を完了しないうちに本契約が
満了したらどうするのか？などについても忘れずに契約期間の条文の
ところにでも規定しておくことも重要になります。

◆条文例◆

Individual Contract

1. Both parties shall conclude individual contract in Buyer’s purchase order (hereinafter called “Purchase Order”) and Seller’s sales note (hereinafter called “Sales Note”) to be exchanged between the parties in the form of attached file of e-mail, which shall set forth terms and conditions including, but not limited to, name of Products, quantity, unit price, delivery date and place, method of payment, due date, currency of payment, shipping charge, total charge and other necessary information (hereinafter collectively called “Individual Contract”).
2. Individual Contract shall, in principle, come into effect when Seller accepts Purchase Order by issuing Sales Note signed and sent by e-mail.  Seller shall use its best efforts to accept Purchase Order issued.  In case that Seller does not accept Purchase Order issued, Seller shall send a written notice of non-acceptance to Buyer by email within three (3) working days from the date of the said Purchase Order issued. Unless any Seller’s notice of non-acceptance is provided in the aforesaid manner, Seller shall be deemed to have agreed to and accepted the terms and conditions set forth in the said Purchase Order issued and Individual Contract shall come into effect.
3. The terms and conditions of this Agreement shall, in principle, govern Individual Contract.  Provided, however, that in case of any conflict between this Agreement and Individual Contract, the provisions contained in Individual Contract shall have the precedence.
4. Both parties may amend or terminate each Individual Contract subject to the mutual consultation and consent in writing between the parties.

Term

Individual Contract which has already been concluded at the time of expiration of this
Agreement shall remain effective and be subject to the terms and conditions herein in
spite of the expiration of this Agreement.
