ここでは、「納品」および「受入検査」についてお話しします。

ここは難しく考えずに日常の取引で当事者間で決めている
ことをそのまま契約書に規定すれば良いのです。

◆納品はどこまでどちらの当事者の責任と費用で行うか？

　ここはもっとも有名なのはインコタームズ（Incoterms）です。
　インコタームズは、「費用負担」と「危険負担」「手配の義務」
　について規定する用語です。

　費用については、「運送料」と「保険料」がポイント
　になります。

　例えば「ＦＯＢソウル」と言った場合は、
　韓国の生産者がソウルの港までの運送料と保険を
　負担し、そこから先の運送料と保険料は委託者が
　負担します。

　手配の義務は費用と同じで「運送」と「保険」の手配を
　生産者と委託者のどちらが行うか？という話になります。

　例えば「ＦＯＢソウル」と言った場合は、
　韓国の生産者がソウルの港までの運送と保険手配を
　生産者が行い、そこから先の運送と保険の手配は
　委託者が行います。

　危険負担については、要はいずれの当事者の責任でも
　ない要因によって取引されている製品が滅失した場合（例：火災等）
　その危険をどちらが負担するか？という考え方です。

　例えば、「FOBソウル」と言った場合は、製品をソウルの港で
　船積みした時点で危険負担は、生産者⇒委託者に移転するという
　意味になります。

　★よく誤解されていますが、「所有権」については
　　　インコタームズでは何も規定されていません！！

　　よって別途契約書等で規定する必要がありますので
　　忘れずに所有権の移転についてもきちんと規定して
　　おきましょう！

◆どのような基準に基づき受入検査するのか？

　・メーカが定めた基準？販売店が定めた基準？双方で協議して
　　定めた基準？

◆受入検査の期限は？

　・製品の納入後、○○日以内に販売店は受入検査を行うか？
　　メーカーとしては、納入後１年間も販売店が受入検査せずに
　　いつまでも、代金を請求できなかったら困る訳です。

　　従って、受入検査の期限をきり、その期限までに販売店が
　　受入検査を行い、欠陥等の通知をメーカーにしなかった場合は
　　当該製品の受入検査に合格したものとみなす、と言った規定を
　　契約書によく記載します。

　　受入検査の合格日が保証期間の開始日だったり製品代金の
　　請求権の発生日だったりすることが多いので、「いつの時点で
　　何をすれば受入検査合格と見做すか？」について明確にしないと
　　多くのトラブルを引き起こすことになりますので要注意です。


　・また、製品の特性やビジネスの状況によっては受入検査を省略
　　することもあるでしょう。そのときは、いつの時点で支払請求権が
　　発生するのか等が忘れられがちですので明確に決めておきましょう。

◆条文例◆

Delivery

1. Seller shall deliver Products to Buyer pursuant to the terms and conditions set
   forth in Individual Contract. Seller shall deliver Products duly packed for
   transportation and shall be responsible for any damage or loss of Products
   attributable to any faulty packing.
2. Buyer may request Seller to change the date of delivery set forth in Individual
   Contract in case that particular matter occurs and Buyer has proper reason
   thereof.
3. If Seller failed to or likely to fail to deliver Products by the delivery date set
   forth in Individual Contract, Seller shall advise Buyer the cause of delay and
   delivery date to be expected, and follow the Buyer’s direction.
4. In case that the aforesaid delay of delivery continues for more than fourteen
   (14) days, Buyer may cancel Individual Contract in whole or in any part thereof
   and Seller shall dispose of Products not delivered pursuant to Buyer’s
   instruction.
5. Seller shall indemnify and hold Buyer harmless from any damage due to the
   delay of delivery caused by the reason attributable to Seller and Buyer may
   claim Seller the damages thereof.

 Inspection

1. Immediately after Seller manufactured the sample of Products, Seller shall
   send the sample of Products to Société Générale de Surveillanceon
   (hereinafter called “SGS”) for SGS’s testing and inspection thereof and
   thereafter, acquire and send SGS’s certificate of inspection to Buyer by email
   prior to the delivery of Products.  Furthermore, Seller shall enclose the original
   of the said SGS’s certificate of inspection together with Products to be
   delivered.
2. All Products ordered are subject to final inspection by Buyer or its designee at
   Buyer’s designated office and shall not be deemed acceptance by Buyer until
   so inspected whether or not payment therefor has been made.
3. In case of defect or damage of Products found as a result of Buyer’s
   inspection, Buyer shall send a written notice by email specifying defect or
   damage to Seller within ten (10) working days from the date of delivery of
   Products. Pursuant to Buyer’s direction, Seller shall replace the defective
   Products at Seller’s own expense.
4. In case of shortage, excess or discrepancy of Products found as a result of
   inspection by Buyer, Seller shall, pursuant to Buyer’s direction, immediately
   take necessary steps at its own expense and Buyer may claim Seller the
   damages thereof.
5. Before delivery of Products, Buyer may, at any and all times during business
   hours, conduct or cause to have its designee conduct the pre-shipment
   inspection or observation of quality of Products, manufacturing process or any
   other reasonable items at Seller’s premises or factories.
