ここでは保証責任（Warranty）ついてお話しします。

委託者としては、例えば受入検査合格後もある一定期間の
あいだに製品の欠陥等が生じたときは、生産者に補償して
欲しいと希望するものです。

よって通常は下記のようなポイントを決めていきます。

１．保証期間の開始日
　　出荷日？納品日？受入検査合格日？

２．保証期間
　　1年？半年？２年？

３．保証の対象
　　欠陥？不具合？仕様書との不一致？委託者の仕様書に起因する欠陥？

４．保証の対象外
　　輸送中の故障？マニュアル記載以外の使用？

５．補償内容
　　代替品交換？修理？代金減額？


◆条文例◆

Warranty（その１）

1. Regardless of the inspection in Article 7, Seller hereby warrants that
   Products shall be in compliance with all Specifications, descriptions
   and other requirement and be free from any defect in design, material or
   workmanship for the period of one hundred and twenty (120) days
   from the date of transfer of title of Products in the foregoing Article
   (hereinafter called “Warranty”). If Products fails to conform to Warranty,
   pursuant to Buyer’s request and direction, Seller shall replace the defective
   Products free of charge, and in addition to the aforesaid Seller’s
   indemnification, Seller shall be liable for, indemnify and hold Buyer harmless
   from any other Buyer’s damage incurred due to the breach of Warranty.
2. Notwithstanding the foregoing paragraph, Buyer may request Seller of the
   extension of the term of Warranty subject to the mutual consultation and
   consent.
3. Seller further warrants that Products shall comply with applicable safety
   standards, laws, ordinances and regulations in Territory.

Warranty（その２）

1. Regardless of the inspection in Article 6, Seller warrants that Products are free
   from any defect in workmanship and material and are in compliance with
   Specifications thereof for the period of one (1) year from the date of pass of
   the inspection of Products.
2. Seller’s sole obligation under the warranty for Products is to repair or replace
   the defective Products at its sole discretion and bear the cost for
   transportation associated with the repair or replacement of defective Products
   in the case of breach of the foregoing warranty.
3. Warranty claims hereunder shall be made in writing within fourteen (14) days
   from the date when the cause of the claim was first recognized and shall recite   
   (a) the nature of the claim, (b) the date when the cause of the claim was first
   recognized, (c) the serial number of Products concerned, if any and (d) the
   delivery date of Products concerned.
4. The warranty specified in this Article shall not apply to any of the followings:

　　　　　 (1)  repair or replacement of Products or its parts due to  normal wear and
                  tear,  the fault or negligence of Buyer or its customers;
(2)  trouble and/or functional difficulties of Products or parts caused by
                 Specifications designated by Buyer;
           (3)  trouble and/or functional difficulties of Products or parts which have
                 not been properly used or maintained in accordance with the applicable
                 operation or maintenance manual of Seller;
           (4)  the case of Products with no problem found;
           (5)  damage of packing and literatures of Products;
           (6)  the case of Buyer’s failure to make warranty claims in accordance with
                  the foregoing Paragraph.
